LAW2107H: Pre-LLM: Chancery - Trusts and Company Law

This module descriptor refers to the 2019/0 academic year.

Module Aims

This module is available only to students on the HKUST-Exeter Programmes in Law who are looking to proceed onto the Exeter LLM in Commercial Law. It is one of three pre-LLM modules designed to get you up to speed with a breadth of law subjects so that your study of the LLM in Commercial Law is a success. This module introduces you to trusts and company law, with the aim of contributing a solid basis from which to progress onto the LLM in Commercial Law next year.

On successfully completing the programme you will be able to:

2. identify, explain and discuss key issues in trusts and company law and to apply relevant rules and theories

4. identify key elements of legal problems, identify their relative significance and select appropriate methods for investigating and evaluating them
Personal and Key Skills5. work independently and to manage time efficiently in preparing for scheduled learning activities, exercises and assessments
6. manage relevant learning resources, information, and learning strategies, and to develop own arguments and opinions with some guidance

  • Purpose trusts, unincorporated associations
  • Trustees: power, duties
  • Breach of trust, remedies
  • Constructive trust
  • Resulting trust
  • Companies: corporate structure, ownership, governance
  • Directors’ duties
  • Shareholder remedies
